FEES AND QUOTATIONS
Understand the total cost before you file
Your annual returns quotation should distinguish government filing fees, any late penalties and professional service charges.
Why there is no single price for every entity
The total depends on the entity type, the applicable company category or share-capital band, the return years, penalties and the work needed to prepare accurate records. A advertised price for one year of a business-name return should not be treated as the cost of regularising a company with several outstanding years.
CAC’s published annual returns fees
The 2025 gazetted CAC fee schedule is the reference for the examples below. Confirm the current portal assessment before payment.
| Entity | Published filing fee | What to confirm |
|---|---|---|
| Business name | ₦5,000 | Return year and any penalty |
| Incorporated trustees | ₦5,000 | Accounts, outstanding years and any penalty |
| Limited liability partnership (LLP) | ₦10,000 | Applicable partnership filing and return year |
| Limited partnership (LP) | ₦5,000 | Applicable partnership filing and return year |
| Company | Category and share-capital dependent | Correct classification and the portal assessment |
These are government filing fees in the cited schedule, not our total service price. They exclude penalties, professional fees and any separately required services.
Late filing penalties
The same fee schedule contains a separate annual returns penalty table. The assessment differs by entity and can include penalties against officers for relevant company or partnership defaults. Confirm the applicable assessment for the outstanding return years; do not apply one flat penalty to every entity.
Read the late filing guide. Do not assume that submitting several overdue returns creates a penalty waiver.
Our professional service fee
Adebayo Oluwole & Associates charges for the agreed professional work. The scope may include reviewing outstanding years, preparing information, submitting filings, responding to queries and organising the resulting documentation. We confirm the scope and fee for your engagement.
If accounting records need to be reconstructed, audited accounts prepared, or separate officer and address changes filed, those services should be identified separately. The quote should explain which work is included and which work requires a further agreement.
What a useful quotation should contain
- Entity and classification. Identify the entity type and any relevant company band.
- Return years. List the years being addressed rather than quoting an unexplained lump sum.
- Government fees. State the assessed filing charges.
- Penalties. Identify applicable penalties and the basis of the assessment.
- Professional charges. Explain the work included in the agent’s fee.
- Additional services. Identify accounts preparation, corrections or restoration work separately where needed.
An illustrative cost calculation
If two business-name return years are assessed at ₦5,000 each, the filing-fee component would be ₦10,000. That is an arithmetic illustration only. The final quotation must add any assessed penalties, professional charges and other agreed work. It is not an offer to complete a two-year filing for ₦10,000.
Does an inactive record always cost the same to restore?
No. First establish the actual status. An incomplete filing, an inactive record and an entity removed from the register can require different steps. Do not purchase a “reactivation” service without clarifying the problem and proposed work.
Read about inactive status and company restoration.
How to obtain a quotation
Start with your entity type, registration year and the outstanding years you know about. Have previous filing acknowledgements available. We will explain what needs to be checked before confirming a quotation.
Frequently asked questions
Is the professional fee a government charge?
No. It is charged by the practice for agreed work and should be distinguished from CAC’s assessment.
Do prices differ because my business is in another city?
CAC’s government schedule depends on the filing and entity, rather than a separate tariff for each city. Professional service arrangements can vary with the engagement.
Can an agent guarantee that penalties will be waived?
A waiver should be supported by an applicable official provision or notice. Ask for the basis of any proposed waiver before relying on it.
Will annual returns cover every outstanding CAC issue?
Not necessarily. Changes to registered particulars and restoration matters can require separate transactions.
Prepare early and keep the records
Maintain an annual filing schedule and retain previous approved returns. Accurate records make it easier to identify what remains outstanding and avoid paying for work already completed.
